“Agreements must be kept”

Incident Response, Immediate, Urgent and Time-Critical Assistance

  • Standard Hourly Rate and Time Tracking
The standard hourly rate is NOK 5.000,- + VAT (see separate clause about VAT) unless otherwise agreed, pursuant to our (constantly updated) price lists. Time is charged per commenced hour, but time records are kept in 15-minute increments. The hourly rate includes the advisors’ work, handling of original documents, conferences, meetings, and other representation of the client in any context.

  • Disbursements (Out-of-Pocket Expenses)
The advisors may require reimbursement of disbursements. Disbursements include any external services invoiced at cost, public fees and charges, and copying/telephone/storage media usage beyond what is included in the hourly rate. VAT regulations apply. See separate clause about VAT.

  • Retainers, Interim Billing, and Payment Terms
Fees may be invoiced as a retainer (advance payment), on account (interim invoices), or as final settlement, as agreed. Advances for fees/expenses shall always be paid into the client account. Payment is due 7 days from the invoice date unless otherwise agreed or stipulated.

  • Final Fee Assessment
When determining the final fee, the advisor may take into account the result achieved, the nature and complexity of the matter, and the time spent.

  • One-Off Initial Consultation (Non-Urgent) – New Clients
A one-off initial consultation for new clients (non-urgent matters) is NOK 2,500 + VAT (see separate clause about VAT) for up to 60 minutes. The initial consultation comprises an assessment of the matter, and substantive case handling should therefore not be expected to any significant extent. If the matter is accepted for further work, fees will be charged in accordance with the general clause written above.

  • Minimum Fees
Minimum fees apply to the following services:
    • Incident Response: NOK 5,000 + VAT.
    • Digital Forensics (as part of IR): NOK 5,000 + VAT.
    • Other Urgent Matters: NOK 5,000 + VAT.
    • Standard Consulting: See price table.
    • Work beyond what is stated may be charged in accordance with the standard fee calculation, as stated in the general clauses written above.
    • VAT regulations apply. See separate clause about VAT.

  • Agreed Fees / Engagement Confirmation
The advisors may agree fees that deviate from what is stated in the Terms and Rates. As a general rule, such agreements should be in writing. In some cases—typically DFIR (Digital Forensics and Incident Response) and other urgent matters—agreements may be formed by conduct (implied acceptance). This means the client accepts these Terms and Rates by, for example, accepting assistance, assigning tasks (including sub-tasks and partial engagements), changing or expanding scope, or otherwise acting in a manner that demonstrates an agreement has been concluded and accepted.

  • B2B Only (No Consumer Services)
Improbus does not provide services to private individuals or consumers. Services are provided only to companies, businesses, organizations, and comparable legal entities. The advisors act on behalf of the client entity and are typically engaged by a designated purchaser/key contact at the client.

  • Authority to Order / Liability Where Authority Is Lacking
Improbus has limited ability to verify whether the purchaser is authorized to procure services, holds power of procurement (prokura), or has signing authority on behalf of the client. If the purchaser is not authorized to place the order on behalf of the client, responsibility for payment for the relevant work performed shall rest with the respective purchaser(s) who ordered the work.
  • VAT, Domestic (Norway) and International Orders
VAT regulations apply. 25% VAT is charged on services supplied in/to Norway. VAT exemption may apply to international customers or for services supplied outside Norway.
